Terms of Service

1. Acceptance of Terms

By accessing or using the Kuberan AI platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service. These Terms apply to all users including accountants, bookkeepers, and their clients who access the platform.

2. Description of Service

Kuberan AI provides a cloud-based accounting platform for Canadian accountants and businesses. The Service includes bookkeeping, invoicing, payroll processing, document management, AI-powered categorization, and tax compliance tools. The Service is designed to assist with accounting workflows and is not a substitute for professional accounting judgment.

3. Account Registration

You must provide accurate and complete information when creating an account. You are responsible for maintaining the security of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use.

4. Subscription & Billing

Paid features require a subscription. Subscription fees are billed monthly or annually in advance. You may cancel at any time; your access continues until the end of the current billing period. Refunds are not provided for partial billing periods. We reserve the right to change pricing with 30 days' notice.

5. Your Data

You retain ownership of all data you upload or enter into the Service. You grant us a limited license to process your data solely to provide the Service. We do not access, use, or share your data for any purpose other than providing and improving the Service as described in our Privacy Policy.

6. AI Features

The Service includes AI-powered features for document processing and transaction categorization. AI suggestions are provided as recommendations and must be reviewed and approved by you before being applied. Kuberan AI is not responsible for errors in AI-generated suggestions that are accepted without review.

7. Acceptable Use

You agree not to:

• Use the Service for any illegal purpose
• Upload malicious software or content
• Attempt to gain unauthorized access to any part of the Service
• Use the Service to store or process data for jurisdictions outside of Canada without authorization
• Resell or redistribute the Service without our written consent
• Interfere with the proper working of the Service

8. Limitation of Liability

To the maximum extent permitted by law, Kuberan AI shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities. Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim. The Service is provided "as is" and we make no warranties about the accuracy of AI features or tax calculations.

9. Professional Responsibility

Kuberan AI is a tool to assist accounting professionals. It does not provide accounting, tax, or legal advice. Users are responsible for ensuring the accuracy of their work and compliance with applicable laws and professional standards. You acknowledge that you remain professionally responsible for all work product generated using the Service.

10. Termination

We may suspend or terminate your access to the Service if you violate these Terms or for any reason with 30 days' notice. Upon termination, you may export your data for 30 days. After that period, your data will be permanently deleted in accordance with our data retention policy.

11. Governing Law

These Terms are governed by the laws of the Province of Ontario, Canada, without regard to its conflict of laws provisions. Any disputes arising from these Terms shall be resolved in the courts of Ontario, Canada.

12. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes via email or through the Service at least 30 days before they take effect. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
